1. Acceptance of Terms

These Terms of Use ("Terms") govern the access to and use of any software, applications, utilities, tools or related materials ("Software") made available by India International Bullion Exchange IFSC Limited ("IIBX") through its website(s).

By downloading, installing, accessing or using the Software, you acknowledge that you have read, understood and agreed to be bound by these Terms, in addition to the Website Disclaimer, Privacy Policy and other applicable policies published on the IIBX website.

2. Software Provided "As Is"

The Software is provided by IIBX on an "as is", "as available" and "with all faults" basis.

IIBX makes no representations or warranties, express or implied, regarding the Software, including but not limited to:

• • uninterrupted or error-free operation;;

Where expressly permitted, Users may copy and redistribute the Software provided that:

• • the Software is distributed without modification;
• • all copyright notices and proprietary notices remain intact;
• • no fee or commercial consideration is charged for such distribution; and
• • prior written permission is obtained from IIBX where required.

5. Restrictions on Use

Users shall not, without the prior written consent of IIBX:

• • modify, adapt, translate or create derivative works from the Software;
• • reverse engineer, decompile or disassemble the Software, except where expressly permitted under applicable law;
• • sell, lease, rent, sublicense or commercially exploit the Software;
• • remove or alter any copyright, trademark or proprietary notices;
• • distribute the Software as part of any commercial product or service; or
• • use the Software for any unlawful or unauthorized purpose.

6. Intellectual Property Rights

The Software, together with all associated documentation, source code, trademarks, copyrights, trade secrets and other intellectual property rights, shall remain the exclusive property of IIBX and/or its licensors.

Nothing contained in these Terms shall be construed as transferring any ownership rights to the User.

The Software is protected under the applicable intellectual property laws of India and international treaties.

7. Technical Support and Updates

Unless expressly stated otherwise, IIBX is under no obligation to provide:

• • technical support;
• • user manuals;
• • software updates;
• • bug fixes;
• • enhancements; or
• • maintenance services.

IIBX may, at its sole discretion, provide updates, enhancements or paid support services from time to time without any obligation to continue doing so.

8. Limitation of Liability

To the fullest extent permitted under applicable law, IIBX shall not be liable for any direct, indirect, incidental, consequential, punitive or special damages, including but not limited to:

• • loss of business;
• • loss of profits;
• • loss of revenue;
• • loss of goodwill;
• • business interruption;
• • computer malfunction;
• • corruption or loss of data; or
• • any other commercial or financial loss,

arising out of or in connection with the download, installation, use, inability to use, modification or distribution of the Software, even if IIBX has been advised of the possibility of such damages.

9. No Modification of Terms

No employee, representative, vendor, consultant or agent of IIBX is authorized to modify, amend or waive any provision of these Terms except through an official written communication issued by IIBX.

10. Changes to the Terms

IIBX reserves the right to amend, revise or update these Terms at any time without prior notice.

Any revised Terms shall become effective immediately upon publication on the IIBX website. Continued use of the Software after such publication shall constitute acceptance of the revised Terms.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of India.

Any dispute arising out of or relating to these Terms or the use of the Software shall be subject to the exclusive jurisdiction of the competent courts at Gandhinagar, Gujarat, or such other courts having jurisdiction under applicable law.

12. Relationship with Other Policies

These Terms shall be read together with the Website Disclaimer, Privacy Policy and other policies published on the IIBX website.

In the event of any inconsistency, these Terms shall apply specifically to the download and use of Software made available through the IIBX website.
